Authorized shares are the number of shares a corporation’s charter allows it to sell. The number of authorized shares usually exceeds the number of shares issued (and outstanding) by a large amount. Outstanding shares are the shares held by stockholders. Cumulative preferred stock gives its owners a right to be paid both the current and all prior periods’ unpaid dividends before any dividend is paid to common stockholders. Whereas non-cumulative stock does not have rights to prior periods’ unpaid dividends if they were not declared in those periods.
